Corporate Counsel Job at Cooke Aquaculture Inc.
We are currently seeking a highly motivated individual to join our Legal Department in Saint John, New Brunswick in the role of Corporate Counsel. Reporting to the Chief Legal Officer, the ideal candidate will have experience in a wide range of corporate commercial law matters either practicing at a reputable law firm or in-house at a large organization.
Responsibilities
- Protect Cooke's interests and enhance Cooke's reputation and brand by providing sound legal advice, assisting with negotiations, and drafting legal agreements
- Provide advice in connection with, or otherwise participate in, key engagements with regulatory agencies and other stakeholders and collaborate with other Cooke lawyers globally
- Ensure that legal risks are identified, appropriate alternative structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, and legal obligations
- Ensure optimal use of internal and external legal resources to ensure provision of professional, timely, cost effective and commercial legal advice and support, balancing both risk and value
- Propose strategies and provide legal support that enable safe, efficient and agile decisions in order to secure competitive advantages
- Exercise business judgment to deliver practical and pragmatic solutions when the “right” legal answer is not crystal clear. Monitor relevant legal developments and communicate these to the business and key stakeholders
- Drafting, reviewing, and negotiating a diverse range of contracts, including complex commercial and M&A agreements
- Participate in a positive, proactive culture encouraging high performance and collaboration with a focus on continuous improvement
- Maximize benefits and minimize risks while delivering business objectives
A successful candidate has:
- Law degree, licensed to practice law in a jurisdiction in Canada and able to be licensed to practice law in New Brunswick
- Minimum four (4) years of experience in a corporate legal department or a law firm practicing corporate law; exceptional candidates with fewer years’ experience may also be considered
- Strong legal and strategic judgment, coupled with strong commercial instincts and stakeholder management skills
- Demonstrate leadership and foundational behaviors including compliance, collaboration, business partnering and continuous improvement
- Ability to work inclusively with both internal and external stakeholders with diverse backgrounds, including senior government officials, senior lawyers and senior business representatives
- Strong interpersonal and communication skills with the ability to develop and sustain relationships and trust with business colleagues and functions at all levels and in a range of cultures
- Ability to clearly explain legal risks, develop sound mitigation strategies and find acceptable commercial solutions
